These Terms cover the MCR Box website, account portal, software downloads, self-hosted licenses, and Hosted Cloud (hourly, monthly, storage, IP holds, and egress) — not only a mobile app. Published prices live on /pricing. By creating an account or using any Service, you agree to these Terms and the Privacy Policy.

1. Agreement

These Terms of Service (“Terms”) are a contract between you and the operator of mcrbox.com (“MCR Box”, “we”, “us”). They apply to mcrbox.com, beta.mcrbox.com, related domains, the account and billing portal, software and machine images we distribute, license keys, and Hosted Cloud (together, the “Services”).

If you use the Services for an organization, you represent that you can bind that organization, and “you” includes it. If you do not agree, do not use the Services.

2. What we offer

MCR Box is professional live video production software (switching, failover, graphics, replay, audio, monitoring, and related tools). You may use it in these ways, which can be mixed on one account:

  • Website and account. Marketing pages, downloads, documentation, signup, licensing, billing, team access, and cloud instance control.
  • Self-Hosted. You run the software on hardware you control (cloud, on-prem, or edge) under a paid per-instance subscription and a license key you generate in your account.
  • Hosted Cloud — hourly. We provision and operate a managed instance for you. Compute is billed per running instance-hour. Partial hours round up to a full hour. Rates vary by instance type and region and are listed on /pricing.
  • Hosted Cloud — monthly. A committed 24/7 instance of a type and region you choose, billed as a recurring monthly amount. Additional burst instances on the same account stay on the hourly plan unless you convert them.
  • Add-ons. Extra storage in published block sizes; an optional static IPv4 hold while an instance is stopped; inbound transfer included; outbound transfer with a published allowance and overage rate.
  • Downloads and images. Desktop and server builds (including macOS, Windows, and Linux), container images, and public Community AMIs. A valid license is required to run the software, including from a Community AMI or container.
  • Trials and promotions. A time-limited software trial of the engine, a one-time hosted compute-hour allowance, and any discount or promo codes we issue.

Features, regions, instance types, and prices may change. The /pricing page and your account invoices control the then-current commercial terms. These Terms describe the legal structure, not a quote.

3. Eligibility and accounts

The Services are for professional and business use. You must be at least 18 and able to form a contract. We do not knowingly offer accounts to children under 13.

You are responsible for account credentials, SSO access, team members you invite, license keys you mint, and all activity under the account. Keep keys confidential. Notify us at support@mcrbox.com if you believe the account is compromised. We may refuse, reclaim, or merge accounts that abuse trials or promotions.

4. Software license (self-hosted, downloads, images)

Subject to these Terms and a valid subscription or trial, we grant you a limited, non-exclusive, non-transferable, revocable license to install and run the MCR Box software on the number of instances your account is licensed for, solely to produce and operate your own video services.

You may not, except to the extent a statute forbids this limit:

  • sublicense, rent, or sell the software or license keys, or run them as a competing hosted service for third parties;
  • redistribute our golden or Community machine images as your own product, or strip license checks;
  • reverse engineer, decompile, or circumvent license or billing enforcement except where interoperability law requires it and you have first asked us for the information you need;
  • remove proprietary notices or use our names and marks except to identify that your production uses MCR Box.

The software is licensed, not sold. We (and our licensors) retain all intellectual property in the Services. You retain all rights in your video, graphics, and configurations (“Customer Content”).

5. Self-Hosted subscriptions

Self-Hosted is billed as a recurring monthly subscription per licensed instance at the published rate. You provide hardware, operating system, GPU drivers, network, and destination platforms. We provide the binary, license keys, updates we choose to publish, and email support on a commercially reasonable basis. We do not operate your self-hosted machines and are not responsible for their uptime, security, or egress.

You may generate, revoke, and reinstate keys from your account within your paid seat count. A live software trial may include one key that does not consume a paid seat, as described in your account. Keys are personal to your account; sharing a key outside your organization is a breach.

Subscriptions renew until you reduce quantity or cancel in the portal (or by emailing support@mcrbox.com). Cancellation stops future renewal; it does not refund the then-current period unless required by law or we agree in writing.

6. Hosted Cloud

6.1 Nature of the service

Hosted Cloud is a managed compute service we operate on infrastructure we control (currently public cloud in the regions we list). You get a running MCR Box instance, network access you configure through the portal, and credentials we show in the account. You do not receive our cloud account, IAM roles, or the right to treat Hosted Cloud as raw IaaS to resell.

We may replace underlying hosts, images, and IP addresses as needed to operate the service, except that a paid static-IP hold is intended to keep the associated address while the hold is active and the instance exists. First launch in a new region may require copying a machine image; that copy window is not billed as running compute, as described in the product.

6.2 Hourly instances

Hourly instances bill only while they are in a running (or equivalent billable) state. Time is metered in whole hours; any partial hour rounds up. Stopping ends compute charges; storage and an optional IP hold continue. Terminating ends those add-ons. Included outbound transfer is per running hour at the published allowance; extra outbound is overage.

Each account receives a one-time allowance of 10 hosted compute hours for hourly instances. Monthly committed instances, storage, IP holds, and egress overage do not consume that allowance. After the allowance, hourly compute requires a payment method and is charged at the published rate.

6.3 Monthly instances

A monthly Hosted Cloud instance is a commitment to keep that instance type available 24/7 for the billing month at the published committed price for the region. It includes the published monthly outbound allowance. You may stop the guest OS; the commitment and monthly charge continue until you delete the instance or cancel the commitment through the portal. Extra instances you launch for events remain hourly unless you purchase another monthly commitment.

Monthly hosted, extra storage, and IP holds require a valid payment method before we provision them. We may refuse or suspend them if payment fails.

6.4 Storage, IP holds, and egress

Root storage included with an instance is described on /pricing. Additional storage is sold in published blocks and bills monthly while the instance exists, including while stopped. A static IPv4 hold bills monthly while enabled so the address is reserved when the instance is stopped. Inbound transfer is included. Outbound beyond the hourly or monthly allowance is billed per gigabyte at the published overage rate. Self-Hosted egress is yours alone.

6.5 Your operational duties

You configure security-group rules, application settings, and stream destinations. You are responsible for locking down ports you open (including 0.0.0.0/0), for credentials we display, and for anyone you give those credentials to. We may auto-stop instances when a spend limit you set is reached, when payment fails, or when these Terms are breached. Auto-stop is a safeguard, not a guarantee that charges will not exceed a limit (metering is periodic).

Hosted Cloud is not a backup service. Export configurations and content you care about. When you terminate an instance we delete the associated compute and volumes; residual backups we hold for operations, if any, are discarded on a limited cycle and are not available to you as a restore product.

6.6 Acceptable use of Hosted Cloud

In addition to Section 8, you must not use Hosted Cloud to mine cryptocurrency, send spam, run open proxies or scanners, attack other systems, or violate the acceptable-use rules of our infrastructure provider. We may suspend or terminate instances that create legal, security, or abuse risk, and we may report criminal activity.

7. Trials, discounts, and beta

New accounts receive a 30-day software trial of the engine. When the trial ends, continued Self-Hosted use requires a paid seat; Hosted Cloud follows Section 6. We do not automatically start an App Store subscription. Configurations and keys remain in the account unless we must delete them for law or abuse.

Promo and discount codes apply only as stated when issued. We may reject or revoke codes that are shared publicly contrary to their terms, stacked against our rules, or obtained fraudulently. Beta hostnames (including beta.mcrbox.com) may change or break without the notice we would give production.

8. Acceptable use (all Services)

You will:

  • use the Services only for lawful professional purposes;
  • have the rights to every signal, graphic, recording, and destination you process or publish, and comply with destination platform terms (for example YouTube, Twitch, or a rights-holder feed);
  • not use the Services for child sexual abuse material, to incite violent crime, or to evade sanctions or export law;
  • not interfere with the Services, other customers, or our licensing and metering systems;
  • not scrape the site in a way that degrades it, except ordinary search indexing.

9. Customer Content

You own Customer Content. You grant us a limited license to host, transmit, and process it solely to provide Hosted Cloud, support you ask for, and secure or troubleshoot the Services. We do not claim a copyright in your programs. We do not use your live video as an advertising dataset.

Self-Hosted content stays on your machines unless you send it to us (for example a support bundle). On Hosted Cloud, content resides on the instance and in transit you configure; we may have incidental operator access for incidents. You are the controller of that content; see the Privacy Policy.

Copyright complaints about material on our Services: email legal@mcrbox.com with enough detail to locate the material. We may remove or disable access consistent with applicable law.

10. Fees, payment, taxes, refunds

Website and Hosted Cloud charges are processed by Stripe (or a successor processor we name). You authorize us to charge the payment method you add for subscriptions, metered usage, and add-ons. Recurring items renew until cancelled. Metered usage (hourly compute, egress overage) is invoiced on the cadence Stripe and our meter use, typically monthly in arrears plus in-period reporting.

Prices exclude taxes. We may charge VAT, sales tax, or similar if required. You are responsible for taxes we do not collect.

Fees are non-refundable except where law requires a refund or we agree in writing. If we suspend for your breach, fees already incurred remain due. We may retry failed charges and suspend Services after failure.

If you purchase an MCR Box mobile or desktop app through an app store, that store’s terms govern payment, renewal, and refunds for that purchase. These Terms still govern the software and any website or Hosted Cloud services tied to your MCR Box account.

11. Third-party services

The Services interoperate with Stripe, our licensing system, infrastructure providers, email, optional Google sign-in, download tracking, and destinations you choose. Their terms and privacy notices apply to what they process. We are not those providers and do not control their outages.

12. Intellectual property and feedback

MCR Box, the site design, documentation, and software are our trademarks and copyrights (and those of licensors such as open source components shipped with notices). Feedback you send may be used to improve the Services without obligation to you.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, that a stream will not drop, or that Hosted Cloud will meet a particular broadcast SLA, unless we have signed a separate written service agreement with you. Marketing statements about reliability are not a warranty.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MCR BOX AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR FAILED OR DROPPED STREAMS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE PAID NOTHING). Some jurisdictions do not allow certain limits; those limits apply to the fullest extent permitted.

15. Indemnity

You will defend and indemnify MCR Box and its personnel against claims, damages, and costs (including reasonable legal fees) arising from Customer Content, your streams and destinations, your misuse of the Services, your breach of these Terms, or your violation of law or third-party rights.

16. Suspension and termination

You may close the account and delete Hosted Cloud instances in the portal. We may suspend or terminate immediately for non-payment, suspected fraud, legal risk, or material breach. We may terminate for convenience with reasonable notice. On termination, licenses end, keys may be revoked, and Hosted Cloud instances may be shut down. Sections that should survive (including 9–15, 17–19) do.

17. Export and sanctions

The software may include encryption and is subject to U.S. and other export laws. You will not use or export the Services in violation of those laws or to a sanctioned person, country, or end use.

18. Changes

We may update these Terms by posting a new version on this page and updating the date above. Material changes will be flagged on the site or by email when we have your address. Continued use after the effective date is acceptance. If you do not agree, stop using the Services and cancel paid items.

19. Governing law

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law rules. Exclusive venue is the state or federal courts in King County, Washington, except that we may seek injunctive relief in any forum for IP or abuse. The UN Convention on Contracts for the International Sale of Goods does not apply.

20. Miscellaneous

These Terms are the entire agreement for the Services and supersede prior terms for the same subject (including older “iOS app only” terms). If a provision is unenforceable, the rest remains. You may not assign the agreement without our consent; we may assign it in a reorganization or sale. Failure to enforce is not a waiver. Notices to you may go to the account email.
